1. Acceptance of Terms

Welcome to Hub.ai! This service is operated by Hub Cloud, Inc., a Delaware corporation ("Hub Cloud," "we," "us," or "our"). By accessing or using our website (hub.ai), services, applications, and tools (collectively, the "Service"), you agree to comply with and be bound by these Terms of Service ("Terms"). These Terms, along with our Privacy Policy (available at /privacy), which is incorporated herein by reference, govern your use of the Service. These Terms apply to all visitors, users, and others who access or use the Service. If you disagree with any part of the terms or the Privacy Policy, you do not have permission to access the Service.

You must be at least 18 years old or the age of legal majority in your jurisdiction to use the Service. By agreeing to these Terms, you represent and warrant that you meet this age requirement.

If you are using the Service on behalf of an organization or entity ("Organization"), then you are agreeing to these Terms on behalf of that Organization, and you represent and warrant that you have the authority to bind the Organization to these Terms. In that case, "you" and "your" refer to that Organization, and references to "Hub Cloud," "we," "us," or "our" refer to Hub Cloud, Inc.

2. Service Description

Hub.ai provides a platform designed to simplify the deployment of public GitHub repositories into managed virtual machine instances ("Instances"). Users can connect their accounts (e.g., GitHub, Google), provide a repository URL, and the Service attempts to automatically configure and launch the repository's application within an Instance.

The Service includes features for managing these Instances, such as starting, stopping, monitoring, and accessing them via unique URLs. Functionality may include automatic dependency detection and installation, though the effectiveness may vary based on repository complexity and structure.

Hub Cloud reserves the right to modify, suspend, or discontinue the Service (or any part or content thereof) at any time with or without notice. We will not be liable to you or to any third party for any modification, price change, suspension, or discontinuance of the Service.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Hub Cloud does not guarantee that the Service will always be available, uninterrupted, timely, secure, or error-free, or that defects will be corrected. We may perform maintenance activities, planned or unplanned, which may result in temporary interruptions.

3. Account Registration and Security

To access certain features of the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service (like GitHub or Google OAuth). You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar, or obscene.

4. User Conduct and Acceptable Use

You are solely responsible for your conduct and any data, text, information, graphics, photos, profiles, audio and video clips, links, code, and other content or materials (collectively, "Content") that you submit, post, display, or run on or via the Service.

You agree not to use the Service:

• For any illegal or unauthorized purpose, or in violation of any local, state, national, or international law.
• To engage in any activity that interferes with or disrupts the Service or the servers and networks connected to the Service.
• To attempt to gain unauthorized access to the Service, user accounts, computer systems, or networks connected to the Service.
• To deploy or distribute malware, viruses, worms, defects, Trojan horses, corrupted files, hoaxes, or any other items of a destructive or deceptive nature.
• To run applications that perform network scanning, denial-of-service attacks, or any form of automated abuse.
• For cryptocurrency mining without explicit prior written permission.
• To infringe upon or violate our intellectual property rights or the intellectual property rights of others.
• To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability.
• To generate or facilitate unsolicited commercial email ("spam").
• To exceed reasonable resource usage limits, as determined by Hub Cloud in its sole discretion, which may include CPU, memory, disk I/O, and network bandwidth. Excessive usage may lead to throttling, suspension, or termination of your Instances or account.

Hub Cloud has the right, but not the obligation, to monitor activity occurring in connection with the Service. We may investigate any reported violation of our policies or complaints and take any action that we deem appropriate.

5. Billing, Credits, and Payment

Access to and use of Instances requires Hub.ai credits ("Credits"). Credits can be obtained through promotional offers (like the initial sign-up bonus) or purchased through the Service.

Credit Usage: Running Instances consume Credits based on the resources allocated (e.g., CPU, RAM, Disk, GPU) and the duration of runtime. Pricing details and specific instance costs are available on our website and may be updated from time to time. Billing occurs based on active runtime, typically calculated per minute or hour. Stopping an Instance stops the consumption of Credits for that Instance.

Purchasing Credits: Credits can be purchased using the payment methods available on the Service. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Service. You authorize us to charge your chosen payment provider for any such purchases.

Promotional Credits: Promotional credits (e.g., sign-up bonuses, affiliate earnings) have no cash value, are non-transferable, and may expire according to the terms of the specific promotion.

Refunds: Purchased Credits are generally non-refundable except where required by law or at Hub Cloud's sole discretion. If you believe you have been billed in error, please contact us within 30 days of the charge at [email protected].

Taxes: You are responsible for any applicable taxes, duties, or governmental levies associated with your purchase or use of Credits or the Service.

Failure to Pay: If your account balance becomes negative or payment is declined, we reserve the right to suspend or terminate your access to the Service and any running Instances.

6. Affiliate Program

Hub Cloud offers an optional Affiliate Program allowing users to earn credits by referring new users to the Service.

Eligibility: All registered users in good standing are eligible to participate.

Referral Tracking: Each user is provided a unique referral code. A referral is successfully tracked when a new user signs up using your referral code and makes their first credit purchase.

Commission: You will earn credits equal to 10% of the value of credit purchases made by your referred users within the first 90 days of their account creation. Credits are calculated based on the purchase amount before any taxes or fees.

Credit Awarding: Earned affiliate credits will be automatically added to your account balance on or around the 15th of the month following the month in which they were earned. These credits function identically to purchased credits and can be used for any Service features requiring credits.

Restrictions: You may not refer yourself or create multiple accounts to generate referrals. Spamming, using misleading advertising, or associating Hub.ai or Hub Cloud with objectionable content to promote your referral code is prohibited. Violation of these restrictions may result in forfeiture of earned credits and suspension from the Affiliate Program and/or the Service.

Program Changes/Termination: Hub Cloud reserves the right to modify, suspend, or terminate the Affiliate Program, its terms, or your participation in it at any time, with or without notice. Changes will be effective upon posting to this page or the Affiliate section of your account.

7. Intellectual Property

Our Service: The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Hub Cloud, Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks (including "Hub.ai" and "Hub Cloud") and trade dress may not be used in connection with any product or service without the prior written consent of Hub Cloud, Inc.

Your Content: You retain ownership of the code and Content you deploy on the Service. By deploying Content, you grant Hub Cloud a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to host, store, transfer, display, perform, reproduce, modify (for the purpose of formatting for display), and distribute your Content solely for the purpose of operating, providing, and improving the Service.

Third-Party Repositories: You are responsible for ensuring that you have the necessary rights and licenses to deploy any third-party code or repositories using the Service. Hub Cloud does not claim ownership over third-party repositories deployed by users.

8. Termination

Hub Cloud may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service and, if applicable, delete your account through the account settings.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Upon termination, your right to use the Service will immediately cease. We may delete your Content and account data upon termination, but we are not obligated to do so.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

HUB CLOUD, INC., ITS SUBSIDIARIES, AFFILIATES, AND ITS LICENSORS DO NOT WARRANT THAT A) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; C) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR D) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.

HUB CLOUD DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY APPLICATION, PRODUCT, OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICE OR ANY HYPERLINKED WEBSITE OR SERVICE.

10. Limitation of Liability

IN NO EVENT SHALL HUB CLOUD, INC., NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE OR DEPLOYED USING THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

OUR MAXIMUM AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT OF FEES PAID BY YOU TO HUB CLOUD FOR THE SERVICE IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

11. Indemnification

You agree to defend, indemnify, and hold harmless Hub Cloud, Inc. and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted or deployed on the Service.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.

13. Changes to Terms

Hub Cloud reserves the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

We will notify you of any changes by posting the new Terms of Service on this page and updating the "Last Updated" date.
